1. Acceptance of Terms

By accessing or using MetriQual ("Service," "Platform," or "we"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not use our Service.

2. Description of Service

MetriQual is an AI gateway platform that provides:

  • Unified API access to multiple AI providers (OpenAI, Anthropic, Google, Mistral, etc.)
  • Proxy key management and authentication
  • Request routing, load balancing, and automatic fallbacks
  • Real-time analytics and cost tracking
  • Content filtering and PII detection
  • A/B testing and experimentation tools
  • Community prompt library and sharing features

3. Account Registration

To use our Service, you must:

  • Be at least 18 years old
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access
  • Accept responsibility for all activities under your account

You may not share your account credentials or transfer your account without our written consent.

4. Acceptable Use Policy

You agree NOT to use the Service to:

  • Violate any laws, regulations, or third-party rights
  • Generate or distribute illegal, harmful, or offensive content
  • Infringe intellectual property rights
  • Distribute malware, viruses, or malicious code
  • Attempt to gain unauthorized access to our systems
  • Reverse engineer, decompile, or disassemble our software
  • Resell or redistribute our services without authorization
  • Abuse rate limits or overwhelm our infrastructure
  • Scrape or harvest data from the platform
  • Create spam, phishing, or fraudulent content

5. API Keys and Third-Party Services

Your API Keys: You are responsible for obtaining, securing, and managing your own API keys from third-party AI providers (OpenAI, Anthropic, etc.). MetriQual encrypts and stores these keys securely but is not responsible for their misuse or unauthorized access to your provider accounts.

Third-Party Terms: Your use of AI providers through MetriQual is subject to their respective terms of service. You are responsible for compliance with all provider policies.

6. Billing and Payments

6.1 Subscription Plans

  • Free Tier: Limited features with usage caps
  • Paid Plans: Monthly or annual billing cycles
  • Free Trial: 14-day trial of Enterprise features (no credit card required)

6.2 Payment Terms

  • Subscription fees are billed in advance on a recurring basis
  • All fees are non-refundable except as required by law
  • We may change pricing with 30 days' notice
  • Failure to pay may result in service suspension or termination
  • You are responsible for all taxes and fees

6.3 AI Provider Costs

MetriQual does NOT charge for AI model usage. You pay third-party providers directly through your own API keys. Our subscription fee covers platform access, analytics, and infrastructure.

6.4 Cancellations

You may cancel your subscription at any time from your dashboard or by contacting support. Cancellation takes effect at the end of the current billing period and stops future charges. Full details are in our Cancellation & Refund Policy.

6.5 Refunds

Subscription fees are billed in advance and are generally non-refundable except as required by law. Prepaid credits already consumed and usage-based charges already incurred are non-refundable; unused prepaid balances may be refunded at our discretion as described in our Cancellation & Refund Policy. 7. Usage Limits and Rate Limiting

  • Each plan has specific usage limits (requests, proxy keys, team members)
  • We reserve the right to enforce rate limits to ensure fair usage
  • Exceeding limits may result in throttling or additional charges
  • Enterprise plans include custom limits

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. Key points:

  • We collect and process data as described in our Privacy Policy
  • API request data is retained for 90 days for analytics
  • You retain ownership of your prompts and content
  • We may use aggregated, anonymized data for product improvements

9. Intellectual Property

Our IP: MetriQual, its logo, design, software, and content are owned by us and protected by intellectual property laws. You may not use our trademarks or branding without permission.

Your Content: You retain ownership of prompts, configurations, and content you create. By sharing prompts publicly in our Prompt Hub, you grant us a license to display and distribute them on the platform.

10. Service Availability and Support

Uptime: We strive for 99.9% uptime but do not guarantee uninterrupted service. Planned maintenance will be announced in advance when possible.

Support: Support is provided via email and documentation. Enterprise plans include priority support.

11. Disclaimers and Limitations of Liability

AS-IS SERVICE: THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

LIMITATION OF LIABILITY: TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, or consequential damages
  • Loss of profits, data, or business opportunities
  • Third-party AI provider outages or errors
  • Unauthorized access to or alteration of your data
  • Costs exceeding amounts paid to us in the past 12 months

12. Indemnification

You agree to indemnify and hold harmless MetriQual from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of third-party rights.

13. Termination

By You: You may cancel your account at any time through your account settings. Cancellation takes effect at the end of your billing period.

By Us: We may suspend or terminate your account if you:

  • Violate these Terms or our Acceptable Use Policy
  • Fail to pay fees when due
  • Engage in fraudulent or abusive behavior
  • Pose a security or legal risk

Upon termination, your access will cease, and we may delete your data after a reasonable grace period.

14. Changes to Terms

We may modify these Terms at any time. Material changes will be notified via email or platform announcement 30 days in advance. Continued use after changes constitutes acceptance.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of [Your Jurisdiction], without regard to conflict of law principles.
